PT ABM Investama Tbk (ABMM) announced that its directly controlled subsidiary, PT Cipta Kridatama Tbk, together with the guarantors, signed a Syndicated Financing Facility Loan Agreement with several domestic banking institutions on December 12, 2025.
The facility obtained by Cipta Kridatama is equivalent to IDR 4.2 trillion with an Accordion Option of IDR 1 trillion. The facility amount equals 36.03% of the company’s equity based on its financial statements for the third quarter of 2025.
The Accordion Option may be utilized by Cipta Kridatama after fulfilling the requirements and obtaining creditor approval, and must be used no later than two years from the effective date.
“The purpose of this agreement is to lower the margin and reprofile the facility tenor in order to reduce financing costs and strengthen the balance sheet,” wrote ABM Investama Corporate Secretary, Boogee Garystho Priyono, in an information disclosure on Friday (Dec 12).
Since this credit facility was obtained directly from creditors that are banking institutions, under Article 11 letter b of OJK Regulation 17/2020 the transaction is exempt from using an appraiser to determine the fair value of the material transaction and/or the fairness of the transaction and from obtaining shareholder approval (GMS).
